鉴于苏州开富电子有限公司系由甲、乙、丙、丁四方按 30%、30%、30%、10%股权比例投资,公司注册资本为 万元人民币（实收资本为 万元人民币）的有限责任公司；
鉴于甲、乙、丙、丁四方有意出让各自所持有的苏州开富电子有限公司30%、30%、30%、10%的股权；
鉴于戊方愿意按人民币 万元转让价格受让甲方、乙方、丙方、丁方共100%股权.
鉴于苏州开富子有限公司股东会就股权转让事宜召开股东会议,就同意本次股权转让以及原股东放弃股权转让优先认购权等相关事宜形成股东会决议；
现甲、乙、丙、丁四方作为转让方与作为受让方戊方达成如下定金协议：
一、本协议生效之日戊方向甲、乙、丙、丁四方支付订约定金人民币 万元.该定金款项由戊方支付,由甲、乙、丙、丁任何一方或双方或三方、四方收取.
二、本协议生效之日戊方向甲、乙、丙、丁方四方支付订约定金人民币 万元后 日内,作为转让方的甲、乙、丙、丁四方与作为受让方的戊方应签订关于苏州开富电子有限公司100%股权的转让协议.
三、戊方未按照本协议的约定按时支付清定金的,每逾期一日,应按未支付款额的千分之一承担滞纳金,逾期满十日的,甲、乙、丙、丁四方有权解除本协议,丁方、戊方已支付的定金甲、乙、丙、丁四方不予返还.
四、在戊方向甲、乙、丙、丁四方支付订约定金人民币 万元后,甲、乙、丙丁四方未按照本协议的约定按时与丁方、戊方签订股权转让协议的,所收取的定金应双倍返还戊方；戊方未按照本协议的约定按时与甲、乙、丙、丁四方签订股权转让协议的,所支付的定金甲、乙、丙丁四方不予返还.
五、本协议适用中华人民共和国法律.凡因履行本协议所发生的或与本协议有关的一切争议各方应当通过友好协商解决；如协商不成,任何一方都有权向本协议签订地人民法院提起诉讼.
六、本协议经各方签字后生效,最后签字之日即为本协议生效之日.本协议正本一式五份,甲乙丙丁戊各方各持一份.

WHEREAS Suzhou Kaifu Electronic Co.,Ltd.Is a limited company invested by Party A,Party B,Party C,and Party D with 30%,30%,30%,10% shareholding respectively,with a registered capital of RMB_____ (the paid-in capital is RMB _____);
WHEREAS Party A,Party B,Party C,and Party D are willing to sell 30%,30%,30%,10% shares of Suzhou Kaifu Electronic Co.,Ltd.they hold respectively;
WHEREAS Party D is willing to buy the 100% shares Party A,Party B,Party C,and Party D hold together with RMB_______; WHEREAS the board of shareholders of Suzhou Kaifu Electronic Co.,Ltd.holds the general meeting on share transfer and reaches the resolutions on the issues such as approving share transfer and the original shareholders giving up the preferential subscription rights,
NOW THEREFORE the Transferors (Party A,Party B,Party C,and Party D) and the Transferee (Party D) agree on the following agreement:
1.Party E shall pay Party A,Party B,Party C and Party D the deposit RMB_____ in total from the date of effectiveness hereof.The deposit in question shall be paid by Party E,and shall be collected by either of,two of,three of,or all of the four parties:Party A,Party B,Party C and Party D.
2.The agreement for 100% share transfer of Suzhou Kaifu Electronic Co.,Ltd shall be made and entered into by and between the Transferors (Party A,Party B,Party C and Party D) and the Transferee (Party E) within _____ days after Party E pays Party A,Party B,Party C and Party D deposit RMB______ from the date of effectiveness of this Agreement.
3.Where Party E fails to pay off the deposit under this Agreement,Party E is liable for a penalty of 0.1% of the unpaid amount hereof for everyday overdue.Where the deposit payment is default for 10 or more days,Party A,Party B,Party C,Party D are entitled to terminate this Agreement,and the deposit paid by Party E will not be refunded.
4.Where Party A,Party B,Party C and Party D fail to make and enter into the agreement for share transfer in time with Party E after Party E pays Party A,Party B,Party C,Party D the deposit RMB______,the deposit collected shall be refunded to Party E in double; Where Party E fails to make and enter into the agreement for share transfer in time with Party A,Party B,Party C,Party D,the paid deposit will not be refunded to Party E by Party A,Party B,Party C and Party D.
5.This Agreement is governed by the laws of the People's Republic of China.All disputes arising from the implementation and enforcement of,or in connection with,this Agreement ,shall be settled amicably through friendly negotiation; in case no settlement could be reached through friendly negotiation,either of the parties is entitled to file a lawsuit to the people’s court at the place where the agreement is made and entered into.
6.This Agreement shall become effective upon signing,and the date of the last signing is deemed to the date of effectiveness hereof.This Agreement is in quintuplicate,and each party (Party A,Party B,Party C,Party D,Party E) holds one.
